001Acceptance of these terms

These Terms & Conditions ("Terms") are a binding agreement between you and Outcomiva, a brand of The Nelson M Group LLC ("Outcomiva," "we," "us"). They govern your use of outcomiva.com and related services, among them email and text-message programs (the "Services"). By using the Services or submitting a form, you agree to these Terms, our Privacy Policy, and, if you opt in to texts, our SMS Terms. Disagree with any part of them? Then please do not use the Services.

002What Outcomiva is, and is not

Outcomiva is an information service. We publish general, plain-language information about how clinical research works, how to read a study listing, what informed consent means, and which questions to ask a study team, and let visitors opt in to related updates. We do not give medical advice, diagnosis, or treatment, do not run, recruit for, or enroll people in clinical studies, and do not match or refer people to studies or research sites, and we do not share your details with study sponsors, research sites, recruiters, pharmaceutical or device companies, lead-generation companies, or any other partners.

• Decisions about your health and about taking part in any research are yours. Reading our content does not obligate you to do anything.
• Your doctor and the study team, not Outcomiva, decide whether a study is right for you and explain its risks, procedures, and conditions.
• Every study is different. We never guarantee that any study is safe, suitable, or open to you, or that you will qualify for or benefit from any research.

003Eligibility

Use of the Services requires that you be at least 18 years of age, located in the United States, and legally able to contract. You may submit details solely about yourself or about someone who has authorized you to act for them.

004Your information and accuracy

The information you give us must be accurate and current, and you agree to correct it when it changes. Provide only a mobile number that belongs to you or that you are authorized to use. If your number changes or is reassigned, please reply STOP from the old number or contact us so that we do not message someone else.

005Communications and text-message consent

When you opt in, you agree that email and, if you check the applicable boxes, automated text messages can be used to contact you as set out in the SMS Terms. Consent to texts is optional, is not a condition of purchase or of using the Services, and may be withdrawn at any time by replying STOP. Message frequency varies. Message and data rates may apply. Reply HELP for help.

Message and data rates may apply. Message frequency may vary (up to about 8 messages a month, depending on the topics you choose). Text START to join, or opt in with the form on our Get Started or text updates page. Consent is not a condition of purchase or of using the Services.

• STOP: Reply STOP to any message to opt out (STOPALL, UNSUBSCRIBE, CANCEL, END and QUIT also work). You will get one confirmation text and then no more messages.
• HELP: Reply HELP to any message for help, or contact us by email at [email protected] or by phone at 888-372-0152.

Mobile information and opt-in data are not sold or shared with third parties or affiliates for marketing or promotional purposes. See the Privacy Policy and SMS Terms.

007Acceptable use

You agree not to: (a) submit false, misleading, or someone else's information; (b) use the Services for unlawful, fraudulent, or abusive purposes; (c) interfere with or disrupt the Services or attempt unauthorized access; (d) use bots or automated means to submit forms; (e) copy, scrape, or resell our content without permission; or (f) impersonate any person or entity. We may suspend or end your access if you do.

008Third-party organizations and links

Organizations, programs, and products mentioned on or linked from the Services (say government agencies, hospitals, or patient organizations) are run independently of us. Mentioning one is not an endorsement of any product, plan, or provider, and we are not responsible for third-party conduct, content, or results. Your relationship with any doctor or study team is between you and them.

009Intellectual property

The Services, including the Outcomiva name, logo, text, graphics, and design, are held by us or our licensors and are protected by intellectual property laws. We give you a limited, revocable, non-exclusive, non-transferable license for personal, non-commercial viewing and use of the Services. Photos on the Site carry their own free-use licenses.

010Disclaimers

The services and all content are offered "as is" and "as available," with no warranty of any kind, express or implied, like any implied warranty of merchantability, fitness for a particular purpose, accuracy, or non-infringement. We make no promise that the services will run without interruption or error, be secure, or that messages will arrive, or arrive on time.

Outcomiva does not supply financial, legal, or tax advice, and makes no representation about any medical outcome, study result, or eligibility.

011Limitation of liability

To the fullest extent permitted by law, Outcomiva and The Nelson M Group LLC, and their members, managers, officers, employees, and agents, will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, data, or goodwill, arising from or related to your use of (or inability to use) the services, or from any health or research decision you make or do not make. Our total liability for any claim relating to the services will not exceed one hundred U.S. dollars ($100).

Because some jurisdictions restrict certain limitations, portions of the above may not apply to you. Nothing here limits liability that cannot lawfully be limited.

012Indemnification

You agree to hold The Nelson M Group LLC, its affiliates, and its personnel harmless, and to indemnify them, for claims, damages, and expenses (reasonable attorneys' fees included) arising from your violation of these Terms, from misuse of the Services, or from giving a phone number or other information that you were not authorized to offer.

013Disputes, governing law, and arbitration

Informal resolution first. Start by writing to us at [email protected] and allow us 30 days to try to resolve it before you file a claim.

Binding arbitration. Except where a matter belongs in small claims or involves injunctive relief for intellectual-property misuse, you and Outcomiva or The Nelson M Group LLC agree that any dispute arising out of or relating to these Terms or the Services will be decided by final, binding, individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, held in your county of residence or by video or phone, as you choose. The arbitrator may award the same individual relief as a court, and judgment can be entered in any court of competent jurisdiction.

Class-action waiver. Where the law allows, you and Outcomiva each agree that claims will be brought only individually, and not as a plaintiff or class member in a class, collective, or representative action.

Opt-out. You may opt out of arbitration within 30 days of first accepting these Terms by emailing [email protected] and state "Arbitration Opt-Out" in the subject line, along with your name and mobile number.

Governing law. Governing law: the Federal Arbitration Act and the laws of the state in which The Nelson M Group LLC has its principal place of business, without regard to conflict-of-law rules. Except as the arbitration clause offers, exclusive jurisdiction lies with the state and federal courts based in that state.

014Termination

You may stop using the Services at any time, and may opt out of messages by replying STOP. We reserve the right to suspend or terminate access at our discretion, including for violations of these Terms. Disclaimers, limitation of liability, indemnification, disputes, and any other section that by its nature should survive will survive termination.

015Changes

These Terms may change from time to time. Any new version will be posted with a new "Last updated" date, and continuing to use the Services after its effective date means you accept it. Where the law requires notice of material changes, we will give it.

016General

You and we agree that these Terms, together with the Privacy Policy and SMS Terms, are the complete agreement on this subject. If any part cannot be enforced, the rest stays in effect. A waiver only occurs if we say so; failing to enforce is not one. You may not assign these Terms without consent, and we may assign them in a merger or sale.
